This Agreement is made on __________________, 2003_____ between ____________________ (Company) and Texas Elder Solutions (Consultant). I. Consultation Services Consultant shall provide advice and consulting
services to the Company with respect to matters related to

Payment to Consultant Company agrees to pay consultant $65.00 per hour (plus mileage reimbursement of 37.5 per mile) for work and services performed in accordance with the needs of the company. Consultant will submit an itemized statement setting forth the time spent and services provided. Company agrees to pay Texas Elder Solutions the amount due as indicated by statements submitted within thirty (30) days of receipt. III. Confidential Information Texas Elder Solutions agrees that any information received by the company which concerns the personal, financial or other affairs of the company will be treated by the consultant in full confidence, and will not be revealed to any other persons, firms or organizations.
